Terms of Service
Effective Date: 01/01/2026
These Terms of Service (“Terms”) govern your access to and use of byscpa.com (the “Site”), operated by B.Y. & S, CPAs, A Professional Corporation (“BY&S,” “we,” “us,” or “our”). By using the Site, you agree to these Terms. If you do not agree, do not use the Site.
1) Site Purpose; No Professional Advice
The Site provides general information about our firm and services and may include educational content (articles, newsletters, guides). The Site content is for informational purposes only and is not tax, accounting, legal, or financial advice.
Using the Site, submitting a contact form, or receiving communications from us does not create a CPA-client relationship. A client relationship begins only after we confirm acceptance of an engagement in writing (for example, via an engagement letter or similar agreement).
2) Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Site.
3) Contact Forms and Communications
If you submit information through the Site (including forms), you agree to provide accurate information and understand that we may contact you using the information you provide.
Do not submit sensitive personal information (such as Social Security numbers, full tax returns, financial account numbers, or passwords) through a general website contact form unless we have provided a secure method to do so.
4) Third-Party Services, Links, and Embedded Tools
The Site may include links to third-party websites and tools (for example, client portal links, scheduling tools, or embedded content). We do not control those third parties and are not responsible for their content, security, or privacy practices. Your use of third-party services is subject to their terms and policies.
5) Intellectual Property
The Site and its content (text, graphics, logos, layout, and design) are owned by or licensed to BY&S and are protected by intellectual property laws. You may view, download, and print content for your personal, non-commercial use only.
You may not copy, reproduce, modify, distribute, publish, display, or create derivative works from the Site content without our prior written permission, except as permitted by law.
6) Acceptable Use
You agree not to:
- Use the Site for unlawful purposes
- Attempt to gain unauthorized access to the Site or its systems
- Interfere with the Site’s operation or security
- Upload or transmit malware, spam, or harmful code
- Use automated scraping or harvesting of content or data without permission
7) Disclaimer of Warranties
The Site is provided on an “AS IS” and “AS AVAILABLE” basis. We do not warrant that the Site will be uninterrupted, secure, error-free, or free of viruses or other harmful components.
To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
8) Limitation of Liability
To the fullest extent permitted by law, BY&S and its officers, employees, and agents will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from or related to your use of (or inability to use) the Site.
In no event will our total liability for any claim related to the Site exceed $100.
(Some jurisdictions do not allow certain limitations; in that case, the above limitations apply to the maximum extent permitted.)
9) Indemnification
You agree to indemnify and hold harmless BY&S from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your violation of these Terms or misuse of the Site.
10) Changes to the Site and Terms
We may update or modify the Site at any time. We may also revise these Terms from time to time. Changes are effective when posted on this page with an updated Effective Date. Your continued use of the Site after changes means you accept the updated Terms.
11) Governing Law; Venue
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Any dispute arising from these Terms or the Site will be brought in the state or federal courts located in San Mateo County, California, and you consent to that jurisdiction and venue.
